服務條款

生效日期：2026 年 10 月 1 日

本條款以繁體中文撰寫，並構成你與 No Command Technology Limited 之間具約束力的協議。英文譯本載於文末，僅供參照。涵義不一致時，以繁體中文為準。

1. 協議雙方

本服務條款（「本條款」）是你與 No Command Technology Limited（「我們」）之間的協議。我們營運 Spend5 流動應用程式及網站 www.spend5.io。聯絡：support@spend5.io。向該電郵送達即視為向本公司送達。

當你下載、安裝、註冊或使用 Spend5（「本服務」），即表示你已閱讀並同意本條款及私隱政策。若你不同意，請勿使用本服務。

若你經 Apple App Store 取得本應用程式，你與 Apple 之間另受 Apple 的 Licensed Application End User License Agreement（「Apple 標準 EULA」）約束。就 App Store 特許本身而言，Apple 標準 EULA 優先；就你與我們之間的服務關係（帳戶、帳本、同步、訂閱內容）而言，以本條款為準。

2. 服務是什麼，不是什麼

Spend5 是個人及家庭用途的開支記錄工具。上架後，主要功能包括：

  • 手動記錄開支和收入，以及以文字、收據相片或帳單截圖協助填寫（你確認後才儲存）；
  • 類別、預算、帳本分析、固定開支、付款方式標籤、多種貨幣顯示；
  • 私人帳本與共享帳本、分帳；
  • 裝置本地儲存、離線記錄，以及登入後的雲端同步和備份；
  • 免費版，以及可選的 Plus 自動續訂（只經 Apple App 內購買）。

本服務：

  • 不是銀行、儲值支付工具、證券商或保險人，不受香港金融管理局或證券及期貨事務監察委員會就該等活動發牌規管；
  • 不提供受規管的投資建議、稅務意見或會計意見。畫面上的預算、分類和文字說明只供你整理自己的紀錄，重要決定請自行向合資格專業人士查詢；
  • 不保證人工智能抽出的金額、日期、商戶或類別正確。你必須在儲存前核對；
  • 首個公開版本為 iOS。本網站在上架前不提供下載。

我們可以為保安、維修或改進而暫停或調整個別功能，並會在合理可行時事先或事後說明。已購買而尚未屆滿的 Plus 訂閱期，不因我們單方面永久撤下該付費功能而令你失去向 Apple 申請按 Apple 規則處理退款的權利。

3. 誰可以使用

本服務不向 13 歲以下兒童提供。若你未滿 18 歲，你聲明已取得家長或監護人同意，且該同意之人同意受本條款約束。購買 Plus 必須使用符合 Apple 付款規則的 Apple 帳號，通常應由成年人持有或授權。

你必須有權使用你用來登入的 Apple、Google 或電郵帳號。

4. 帳戶

你負責保管裝置及登入帳號，並對該帳戶下的活動負責，但如該活動是因我們的保安過失造成則除外。若你發現未經授權的使用，請盡快電郵 support@spend5.io。

你可在 App 的設定中刪除帳號。刪除的效果以私隱政策所述的保留期為準。刪除帳號不會自動取消 Apple 訂閱，你必須另行在 Apple 帳號的訂閱設定中取消，否則 Apple 可能繼續收費。

5. 你的內容

帳本裡的文字、數字和圖片（「你的內容」）的權利仍屬於你，或屬於你有權提交的權利人。為向你提供本服務，你授予我們一項全球性、非獨家、免版稅的許可，僅限於：託管、備份、同步、向你的裝置顯示，以及在共享帳本中向獲准成員顯示。這項許可在你刪除相關內容或帳號並且我們完成私隱政策所述的刪除後結束，依法必須保留的備份和日誌除外。

共享帳本的擁有人邀請成員，成員經批准後可以查看該帳本中的內容。你放入共享帳本，即表示你有權與那些成員分享，並同意他們在帳本存續期間查看。擁有人移除成員或把帳本改為私人後，我們會按產品功能停止該成員的存取，但無法收回對方已經看到或另行保存的副本。

你不得提交：

  • 你無權分享的他人個人資料或機密；
  • 完整支付卡號碼、密碼或身分證明文件影像；
  • 惡意程式、違法內容，或侵犯他人知識產權的內容；
  • 企圖探測、干擾或未經授權存取本服務或其他用戶帳本的資料。

6. 可接受的使用

你不得：

  • 違反香港或其他適用於你的法律；
  • 對本服務進行逆向工程、反編譯或拆解，但法律明文禁止我們限制的範圍除外；
  • 用自動化方式大量抓取、轉售或出借本服務；
  • 干擾伺服器，或規避用量限制、帳本限制或訂閱驗證。

用本服務記錄個人、家庭或你自己業務的開支，屬於正常使用，不受上列限制。

7. 免費版與 Plus 訂閱

上架後，未訂閱 Plus 的帳戶為免費版。免費版可以記錄開支、使用預算、分帳、同步和備份。免費版對人工智能文字解析、掃描、帳本分析，以及可完整管理的帳本數目設有上限。超出上限的帳本可以變為只讀。上限以 App 內當時顯示為準，我們可在合理範圍內調整，並會在 App 內說明。

Plus 是自動續訂的 App 內購買項目，只由 Apple 收費。我們不經本網站收費，也不接受銀行轉帳或第三方支付來開通 Plus。

7.1 你在購買前應知道的資料

  • 名稱：Spend5 Plus。
  • 長度：一個月（spend5.plus.monthly）或一年（spend5.plus.yearly），同屬一個訂閱群組。
  • 香港區計劃價格：每月 HK$38，或每年 HK$228。你實際支付的價格、稅項和貨幣，以你點選購買時 Apple 購買表上顯示的金額為準。其他國家或地區的 App Store 價格可能不同。
  • Plus 用以提高人工智能用量、增加可完整管理的帳本，以及使用 CSV 匯出和收入來源等當時在 App 內列明的功能。我們不會在廣告中把未上線的功能說成已經包括在內。

7.2 自動續訂與取消

  • 確認購買後，費用計入你的 Apple 帳號。
  • 除非你在當前訂閱期結束至少 24 小時前關閉自動續訂，否則訂閱會按相同週期自動續訂。
  • 續訂費用會在當前訂閱期結束前 24 小時內由 Apple 向你的帳號收取。
  • 你可在購買後到 iOS「設定」→ Apple 帳號 →「訂閱項目」管理或取消。取消後，你仍可使用 Plus 直至已付費的週期結束。
  • 我們沒有免費試用期。若 Apple 日後顯示任何推廣期，以 Apple 購買表為準。
  • 已付費用的退款由 Apple 按其政策決定。我們不能單方面把款項退回你的卡。
  • 更換裝置或重裝後，請使用「恢復購買」。恢復購買不會向你再次收費。

8. 知識產權

Spend5 的名稱、標誌、介面、文字和軟件（你的內容除外）屬於我們或我們的許可人。本條款只給你一項個人、不可轉讓、可撤銷的使用許可，供你在你擁有或控制、並允許使用的 Apple 裝置上使用本應用程式。我們沒有向你出售軟件本身。

9. 第三方服務

登入、解析、圖片存放、推送、錯誤診斷和雲端主機由私隱政策所列的第三方提供。他們的服務中斷或條款變更，可能令對應功能暫時不可用。我們不為 Apple、Google 或 Anthropic 的獨立服務作保證。

10. Apple 的角色

若你從 App Store 取得本應用程式，你確認：

  • 本條款是你與我們之間的協議，不是你與 Apple 之間的協議。Apple 不負責本應用程式及其內容。
  • 特許範圍限於你在擁有或控制的 Apple 裝置上，按 Apple 媒體服務條款所允許的使用規則，以非商業方式使用本應用程式。家庭共享等 Apple 允許的用法除外。
  • 我們獨自負責本應用程式的維護和支援。Apple 沒有義務提供任何維護或支援。
  • 若本應用程式不符合適用的保證，你可以通知 Apple，Apple 會把本應用程式的購買價退還給你（如有）。在適用法律允許的最大範圍內，Apple 對本應用程式沒有其他保證責任。因不符合保證而引起的任何其他申索，由我們而非 Apple 負責。
  • 我們而非 Apple 負責處理你或任何第三方就本應用程式或其使用及／或持有所提出的產品責任、法律或法規不符、消費者保障或類似申索。
  • 若第三方指本應用程式或你對其的使用侵犯知識產權，調查、抗辯、和解及解決責任由我們而非 Apple 承擔。
  • 你聲明你並非位於受美國政府禁運的國家或地區，亦未被美國政府列入禁止或限制名單。
  • 你使用本應用程式必須同時遵守第三方協議，例如你的電訊網絡服務協議。
  • Apple 及其子公司是本第 10 條的第三方受益人。你接受本條款後，Apple 有權作為第三方受益人強制執行本第 10 條。

11. 免責

在《管制免責條款條例》（香港法例第 71 章）及其他強制性法律允許的範圍內，本服務按「現況」及「可用」基礎提供。我們不保證服務不中斷、沒有錯誤、或人工智能結果準確，亦不保證紀錄足以滿足稅務、會計或任何第三方的格式要求。

下列責任不能排除，本條款的任何句子都不得理解為排除或限制它們：

  • 因我們的疏忽造成的死亡或人身傷害；
  • 欺詐或欺詐性失實陳述；
  • 私隱條例或其他法律規定不得排除的權利。

12. 責任上限

在第 11 條的前提下，我們就本條款或本服務引起的所有申索，合計責任上限為：你在提出申索前 12 個月內就 Plus 實際支付給 Apple、並由 Apple 轉付我們的金額，或港幣 1,000 元，以較高者為準。若你在該期間沒有付費，上限為港幣 1,000 元。

在同一前提下，我們不就利潤損失、商譽損失、間接損失或後果性損失負責。資料損失方面，你應使用 App 內的備份功能自行保留副本；我們會採取合理措施保護雲端資料，但不保證每一筆離線紀錄都已成功上傳。

本條只在《管制免責條款條例》的合理性測試容許的範圍內生效。若某項限制被裁定不合理，該限制會縮至法律允許的最大範圍，其餘條款仍然有效。

13. 彌償

若因你違反本條款、你提交無權分享的內容，或你在共享帳本中披露他人資料，導致第三方向我們提出申索，你同意在合理範圍內彌償我們因此承受的直接損失及合理法律費用。這項彌償不涵蓋由我們自己的疏忽、故意失當或違反本條款所造成的部分。

14. 暫停與終止

若你嚴重或重複違反本條款，或我們為遵守法律或阻止對其他用戶的損害而有必要，我們可以暫停或終止你的帳戶，並會在情況允許時說明原因。你可隨時停止使用並按第 4 條刪除帳號。終止後，第 5、8、11、12、13、16 及 17 條仍然適用。

15. 條款變更

我們可更新本條款。若變更對你的權利有實質影響（包括訂閱價格結構或責任條款），我們會在生效前至少 30 日於 App 或本頁通知。若你在生效後繼續使用，即視為接受新條款。若你不接受，應在生效前停止使用，並按 Apple 的規則取消訂閱。價格變更只適用於 Apple 在購買表向你披露並經你確認的新訂閱或續訂，我們不會在未經 Apple 流程的情況下向你加收費用。

16. 法律及爭議

本條款受香港特別行政區法律管轄。你和我們同意香港法院具有專屬司法管轄權。這不阻止任何一方就緊急禁制令向有管轄權的法院申請臨時濟助，也不影響你向消費者主管當局或個人資料私隱專員投訴的權利。

若本條款任何條文被裁定無效，其餘條文仍然有效。該無效條文會以最接近原意而仍然有效的內容代替。我們沒有行使某項權利，不等於放棄該權利。

本條款連同私隱政策，構成你與我們關於本服務的完整協議，並取代此前就同一事項的口頭或書面陳述。Apple 標準 EULA 在其適用範圍內一併生效。

17. 聯絡

English translation

This translation is for convenience and App Store review. If it differs from the Traditional Chinese text, the Traditional Chinese text prevails. These Terms are a binding agreement between you and No Command Technology Limited, which operates Spend5 and www.spend5.io. Contact: support@spend5.io. Email to that address is valid notice to the company. By using Spend5 you agree to these Terms and the Privacy Policy. If you obtained the app from the Apple App Store, Apple’s Licensed Application End User License Agreement also applies. It prevails on the store licence; these Terms prevail on the service relationship with us.

Spend5 is an expense-tracking tool. It is not a bank, stored-value facility, broker, or insurer, and it is not regulated by the HKMA or the SFC for those activities. Budgets and on-screen analysis are not regulated financial, tax, or accounting advice. You must check AI-extracted fields before saving. The service is not for children under 13. If you are under 18 you need a parent or guardian’s consent.

You keep ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free licence only to host, back up, sync, display it to your devices, and show it to approved members of a shared book. That licence ends when the content is deleted in accordance with the Privacy Policy, except for limited records we must keep by law. Do not submit full card numbers, passwords, identity-document images, malware, or content you have no right to share.

Spend5 Plus is an auto-renewable subscription sold only through Apple In-App Purchase. We do not take payment on this website.

  • Title: Spend5 Plus.
  • Length: one month (spend5.plus.monthly) or one year (spend5.plus.yearly).
  • Intended Hong Kong price: HK$38 per month or HK$228 per year. The price, tax, and currency on the Apple purchase sheet at the time you confirm are the price you pay.
  • Payment is charged to your Apple ID. The subscription renews unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
  • Manage or cancel in iOS Settings → Apple ID → Subscriptions. Cancellation stops the next renewal; Plus continues until the end of the period already paid.
  • There is no free trial. Refunds are handled by Apple. Deleting your Spend5 account does not cancel the Apple subscription. Use Restore Purchases after reinstalling; it does not charge you again.

If you downloaded the app from the App Store, you agree that:

  • These Terms are between you and us, not Apple. Apple is not responsible for the app or its content.
  • The licence is a non-transferable licence to use the app on Apple-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services terms, except as Apple’s Family Sharing or similar rules allow.
  • We, not Apple, are solely responsible for maintenance and support. If the app fails any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation. Any other claims arising from a warranty failure are our responsibility, not Apple’s.
  • We, not Apple, are responsible for product claims, legal or regulatory claims, and consumer-protection claims relating to the app.
  • We, not Apple, are responsible for the investigation, defence, settlement, and discharge of any third-party intellectual-property claim.
  • You represent that you are not located in a country subject to a US government embargo and are not on a US government list of prohibited or restricted parties.
  • You must comply with third-party terms, including your wireless-data agreement.
  • Apple and Apple’s subsidiaries are third-party beneficiaries of this Apple section and may enforce it against you.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for rights that the Personal Data (Privacy) Ordinance or other mandatory law does not allow us to exclude. Subject to that, and to the reasonableness test in the Control of Exemption Clauses Ordinance (Cap. 71), our total liability is capped at the higher of the Plus fees you paid in the 12 months before the claim (to the extent those fees are payable to us) or HK$1,000. We are not liable for loss of profit, goodwill, or consequential loss to the extent that cap is valid.

Hong Kong law governs these Terms. The courts of Hong Kong have exclusive jurisdiction. That does not stop a complaint to a consumer authority or the Privacy Commissioner, or an application for urgent interim relief. Material changes will be notified at least 30 days before they take effect. Email to support@spend5.io is valid notice to No Command Technology Limited.
